AE&E GROUP INTEGRATES A-TEC POWER PLANT SYSTEMS AG

On July 11, 2008, AE&E Group GmbH signed a contribution agreement with A-TEC
Industries AG concerning the transfer of 93.1% of A-TEC Power Plant Systems AG
stock. This agreement took backdated effect on July 1, 2008.

As a consequence, since July 1, 2008, AE&E Group GmbH has been a shareholder in
A-TEC Power Plant Systems AG (A-TEC PPS) with a holding of 93.1%.

A-TEC PPS, which has its offices at Brünner Strasse 52 in Vienna, was founded on
August 24, 2006.
